# oaica End User Licence Agreement (EULA)

**Licensor:** BizTransit Sdn Bhd (891234-X), Level 28, Lingkaran Syed Putra,
Mid Valley City, 59200 Kuala Lumpur, Malaysia.

**Product:** the oaica command-line tool, the prebuilt `oaica` binary
distributed for your platform, and the oaica source code (together, "oaica").

By installing, copying, running, or otherwise using oaica you agree to this
Agreement. If you do not agree, do not install or use oaica.

## 1. What is licensed

oaica is a derivative work of Ollama (https://github.com/ollama/ollama). The
upstream Ollama code keeps its MIT licence; that licence text is in `LICENSE`
and applies to that code alone.

Everything else in oaica — the oaica modifications, the oaica source code, and
the prebuilt binaries — is proprietary. It is licensed, not sold: this
Agreement grants you a right to use oaica, and title to the software stays with
BizTransit Sdn Bhd and its suppliers.

## 2. Free trial

oaica may be used free of charge for **14 days** from the first launch, with no
activation code. The trial is recorded locally on your machine and is intended
to let you evaluate paid features before purchase. When the trial expires, paid
features require a valid licence key.

The **free tier** is not gated and does not expire: local models, `oaica serve`,
your own endpoints and API keys, the `--sonnet-model` subagent tier, and a saved
`--plan`. Free is everything a launch needs to run; paid is everything that
optimises it (`--haiku-model`, `--oversize`, `--shard`, `--wizard`, the routing
policies that choose a leg for you, vendored APIs the catalog prices as paid,
and oaica's own hosted models). See `docs/EDITIONS.md`.

## 3. Licence grant

Subject to this Agreement and to payment of the applicable fee, BizTransit
grants you a non-exclusive, non-transferable, revocable licence to install and
run the prebuilt oaica binary on the number of machines your licence covers
(one machine per licence unless your order says otherwise) for your internal
business or personal use.

## 4. Open source

The source of the upstream Ollama project is available from its own
repositories under its own licence. This Agreement does not restrict any right
you have under that upstream licence to the upstream code.

## 5. Restrictions

You must not:

- copy, redistribute, publish, sublicense, rent, lease, or sell the oaica
  binary or the oaica source code, except as expressly permitted here;
- remove or alter any copyright, licence, or proprietary notice in oaica;
- use oaica to provide a competing hosted or managed service to third parties
  without a separate written agreement;
- share licence keys across machines or users beyond what the licence covers.

## 6. No warranty

oaica is provided "AS IS", without warranty of any kind, express or implied,
including but not limited to the warranties of merchantability, fitness for a
particular purpose, and non-infringement. You use oaica at your own risk.

## 7. Limitation of liability

To the maximum extent permitted by law, BizTransit Sdn Bhd and its suppliers
are not liable for any indirect, incidental, special, consequential, or
punitive damages, or for any loss of profits, data, or business, arising out of
or related to your use of oaica. Their total aggregate liability under this
Agreement is limited to the amount you paid for the licence in the twelve
months before the claim.

## 8. Termination

This Agreement terminates automatically if you breach it. On termination you
must stop using oaica and delete all copies of the oaica binary and oaica
source code in your possession.

## 9. Governing law

This Agreement is governed by the laws of Malaysia, and the courts of Malaysia
have exclusive jurisdiction over any dispute arising from it.
